RECITALS

Manhar Cornerstone Group is a technology-driven financial, legal, and business services distribution network operating under the brand name Manhar Cornerstone Group, offering 300+ services including ITR filing, GST returns, loan facilitation, insurance, legal services, MSME registration, trademark, website development, real estate services, and other compliance-related services.

The Franchisee desires to become an authorized franchise partner of Manhar Cornerstone Group and offer Manhar Cornerstone Group services to customers under the terms of this Agreement.



1. FRANCHISE LICENSE

Manhar Cornerstone Group grants the Franchisee a non-exclusive, non-transferable license to operate as an authorized Manhar Cornerstone Group Franchise Partner and offer Manhar Cornerstone Group services to customers.

The license is pan-India and open territory based. It does not create any exclusive geographic territory.

The Franchisee shall operate under the Manhar Cornerstone Group brand, use the CRM platform, and follow service delivery standards.



2. NATURE OF RELATIONSHIP

The Franchisee is an independent business partner and is not an employee, agent, legal representative, partnership firm, or joint venture partner of Manhar Cornerstone Group.



3. ONE-TIME JOINING FEE

The Franchisee shall pay a one-time, non-refundable Franchise Joining Fee of Rs 6,999. This fee is payable before activation of CRM account and dashboard access.

The fee covers onboarding, CRM access, training material, franchise certificate, brand kit, and initial training support.

No additional annual, monthly, or renewal fee shall be charged while the Franchisee remains active as per this Agreement.



4. COMMISSION STRUCTURE

The Franchisee shall earn commissions on services successfully delivered through their franchise account. Commission rates are governed by the Manhar Cornerstone Group CRM service commission schedule and may be revised with 15 days prior written notice for new leads.

Commissions are credited to the Manhar Cornerstone Group wallet after service completion and payment verification. Withdrawals are subject to the withdrawal policy.



5. TERM AND DURATION

This Agreement is permanent and perpetual while the Franchisee remains active. It terminates only due to inactivity, voluntary exit, or termination for cause.



6. ACTIVE FRANCHISEE REQUIREMENT

A Franchisee is active if they generate at least one confirmed service lead, loan application, or completed transaction within any rolling 90-day period. Login activity alone is not counted.



7. AUTOMATIC TERMINATION FOR INACTIVITY

If inactive for 90 continuous days, the Agreement automatically terminates. Manhar Cornerstone Group may send warning notices at 30, 60, and 75 days through email, WhatsApp, SMS, or CRM notification. Upon termination, CRM access and brand usage rights are revoked.



8. SERVICES EXCLUSIVITY

During the term, the Franchisee shall exclusively offer and promote Manhar Cornerstone Group services through the Manhar Cornerstone Group platform and shall not refer Manhar Cornerstone Group customers to competing financial, legal, compliance, loan, insurance, or digital service platforms.



9. BRAND AND PLATFORM USAGE

The Franchisee may use Manhar Cornerstone Group approved logo, brand materials, CRM, certificate, visiting card template, and letterhead template only for authorized promotion. Any modification, unauthorized social page, website, or brand misuse requires prior written approval.



10. CONDUCT AND STANDARDS

The Franchisee shall treat customers honestly, provide accurate pricing and service information, avoid overcharging, keep customer data confidential, follow timelines and SOPs, and avoid fraud, fake leads, false promises, illegal practice, or credential sharing.



11. Manhar Cornerstone Group OBLIGATIONS

Manhar Cornerstone Group shall provide CRM access after fee/payment verification, training material, pricing information, platform support, service fulfillment support, wallet commission credit, and notice of material policy changes.



12. VOLUNTARY EXIT

The Franchisee may exit by giving 30 days written notice. CRM access and brand rights end after the notice period. Completed-service commissions are processed as per policy. Joining fee is non-refundable.



13. TERMINATION FOR CAUSE

Manhar Cornerstone Group may immediately terminate for fraud, customer cheating, unauthorized collection, data leakage, brand misuse, exclusivity breach, criminal conviction, or conduct bringing disrepute. Pending commissions may be held during investigation.



14. WALLET BALANCE

Wallet balance on auto-termination or voluntary exit is processed as per policy. For termination for cause, balance may be held pending investigation and released or forfeited based on outcome.



15. CONFIDENTIALITY

The Franchisee shall keep customer data, Aadhaar/PAN/financial details, CRM workflows, pricing, commission structure, and business information confidential. This obligation survives termination for three years.



16. DISPUTE RESOLUTION

Disputes shall first be attempted to be resolved amicably within 21 days. If unresolved, disputes shall be referred to a sole Arbitrator appointed by Manhar Cornerstone Group Managing Director. Seat of arbitration is Bilaspur, Chhattisgarh. Courts at Bilaspur, Chhattisgarh have exclusive jurisdiction subject to arbitration.



17. GENERAL TERMS

Manhar Cornerstone Group may amend this Agreement, commission schedule, or operational policies with 15 days prior notice. The Franchisee shall not assign, transfer, or sublicense this Agreement without written consent.



18. DIGITAL SIGNATURE AND OTP ACCEPTANCE

The Franchisee typed the digital signature as "Applicant" and accepted this Agreement on 11/7/2026, 2:11:22 pm. Registered email OTP verification is recorded as electronic consent. Aadhaar OTP/eSign shall be recorded only when processed through an authorized Aadhaar eSign/eKYC provider integrated with the CRM.
